These Terms of Service (“Terms”) govern your access to and use of the IdenQ website, applications, and related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.
If you are using IdenQ on behalf of an organization, you confirm that you have the authority to accept these Terms for that organization.
1. Eligibility
You must be legally able to form a binding contract in your jurisdiction to use the Services. By using the Services, you represent that you meet this requirement and that your use complies with applicable laws and regulations.
2. Accounts & Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify IdenQ promptly of any unauthorized use or security breach. IdenQ is not liable for losses resulting from unauthorized access caused by your failure to safeguard credentials.
3. Services & Availability
IdenQ provides digital identity, verification, and related services. We may update, suspend, or discontinue any portion of the Services to improve functionality, maintain security, or comply with legal requirements. We strive for availability but do not guarantee uninterrupted access.
4. Orders, Fees & Payments
If you purchase paid Services, you agree to pay the fees disclosed at checkout or in your order form. Prices, taxes, and billing terms will be shown before you confirm a transaction. IdenQ may correct pricing errors and will notify you if a correction affects your order.
- Payments are processed through authorized payment providers.
- Invoices, if available, are provided electronically.
- Late or failed payments may result in suspension of Services.
5. Subscriptions
If you subscribe to recurring Services, your subscription renews automatically at the interval shown at checkout unless canceled before the renewal date. You can manage or cancel subscriptions through the method provided at purchase.
6. Acceptable Use
You agree not to misuse the Services or help anyone else do so. Prohibited conduct includes attempting to access systems without authorization, interfering with service integrity, and using the Services for unlawful or fraudulent purposes.
- Do not submit false or misleading information.
- Do not reverse engineer or attempt to extract source code.
- Do not circumvent security or access controls.
7. Intellectual Property
The Services, including software, content, trademarks, and designs, are owned by or licensed to IdenQ. You receive a limited, non-exclusive, non-transferable right to use the Services in accordance with these Terms. No ownership rights are transferred to you.
8. Privacy
Your privacy matters to us. Our privacy practices are described in our Privacy Policy and any supplemental notices provided within the Services. By using the Services, you consent to the collection and use of information as described in those notices.
9. Disclaimers & Liability
The Services are provided “as is” and “as available.” To the fullest extent permitted by law, IdenQ disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, IdenQ will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill.
9A. Data Custody & Loss Disclaimer
IdenQ operates exclusively as a local encryption and self-custody service. The following notices are an integral part of these Terms and govern your understanding of how IdenQ handles your data.
All sensitive information managed by IdenQ — including seed phrases, credentials, and identity data — is encrypted and stored solely on your device. IdenQ does not transmit, upload, or retain any such data on external servers or IdenQ infrastructure at any time.
Because no personal data is stored on IdenQ servers, a breach, outage, or compromise of IdenQ’s systems cannot result in the exposure, loss, or theft of your personal data. Your data security depends entirely on the security of your device.
If you lose access to your device, forget your passphrase, or misplace your recovery kit, IdenQ cannot recover, reset, or restore your data under any circumstances. There is no override, back-door, or customer-support recovery path. You are solely and irrevocably responsible for maintaining your recovery kit in a safe location.
IdenQ’s sole function is to encrypt and organize data on your device. IdenQ expressly disclaims all liability for any loss of data, digital assets, credentials, or access resulting from device loss, theft, damage, hardware failure, forgotten passphrases, failure to maintain a recovery kit, or any other cause. By using the Services you acknowledge and accept this risk in full.
IdenQ is a self-custody encryption service. By design, no third party — including IdenQ — can access, recover, or reconstruct your data. This is a feature, not a limitation. Keep your recovery kit in a safe, offline location.
By continuing to use the Services after reading this section, you confirm that you understand and accept that IdenQ is a self-custody tool and that you are the sole custodian of your data.
10. Termination
You may stop using the Services at any time. IdenQ may suspend or terminate access if you violate these Terms or if required to protect the Services, users, or third parties. Some sections of these Terms survive termination, including intellectual property and liability limitations.
11. Governing Law
These Terms are governed by the laws applicable in the jurisdiction specified in IdenQ’s legal notice or other controlling agreement. If no jurisdiction is specified, the courts of IdenQ’s principal place of business will have exclusive jurisdiction, unless applicable law provides otherwise.
